Reading an Upcoming Mainboard IPO Before It Opens

A Mainboard issue has already cleared a substantial eligibility filter by the time it appears here. Knowing which route it qualified under tells you a good deal about the company.

  • The profitability route. Net tangible assets of at least Rs 3 crore in each of the last three financial years, average operating profit of at least Rs 15 crore in three of the last five, and post-issue paid-up capital of at least Rs 10 crore.
  • Or the QIB route. A company that cannot meet those tests may still list by allocating at least 75% of the issue to qualified institutional buyers, with 10% to retail and 15% to NII. That split is itself a signal: retail is being given a smaller share because institutions are underwriting the risk.
  • The prospectus timeline is predictable. Roughly 30 days from draft filing to SEBI's observation letter, after which the company has up to a year to launch. The final prospectus carrying the price band and dates usually lands one to two weeks before the issue opens.
  • The anchor book is the last preview. Anchors are allocated one working day before the public issue opens. For issues up to Rs 250 crore there must be between 5 and 15 anchors at a minimum of Rs 5 crore each, and anchors can take up to 60% of the QIB portion.
  • Promoter lock-in. The minimum promoter contribution of 20% of post-issue capital is locked for 18 months, with excess holdings locked for six.
